Vozrozhdenie Bank has held an extraordinary General Meeting of Shareholders

Today Vozrozhdenie Bank has held an extraordinary General Meeting of Shareholders. After receipt of the Bank of Russia’s approval, Promsvyaz Capital B.V. finalised the deal acquiring more than 70% of V.Bank’s ordinary shares and becoming its major shareholder. The Meeting has made a decision to fully reelect the Board of Directors until the next General Meeting of Shareholders.

The following members of the Board of Directors have been elected:

  • Alexey Ananiev, the Chairman of the Board of Directors at Promsvyazbank PJSC, previously held the positions of the CEO at Management Systems OJSC, the Chairman of the Advisory Board at Tekhnoserv AS CJSC, the Deputy CEO at Tekhnoserv AS CJSC;
  • Dmitry Ananiev, the Advisor to the Management Board at Promsvyazbank PJSC, previously held the position of the Representative of Yamalo-Nenets Autonomous District in the Federation Council of the Federal Assembly of the Russian Federation;
  • Konstantin Basmanov, the Chairman of the Management Board at Vozrozhdenie Bank;
  • Basunia Tamjid Hossain held managing positions in PWC in Russia during more than 20 years;
  • Andrey Zhupanov, the First Vice-President for Bad Assets and Subsidiaries at Promsvyazbank PJSC, the President at Promsvyaz Capital B.V.;
  • Dmitry Lavrentiev previously held the position of the Head of the International Legal Department at Holding Company RESO-Capital LLL, RESO-Financial Markets LLC;
  • Otar Margania, the Dean of the School of Economics of Saint Petersburg State University;
  • Nikolay Orlov, heir of the bank’s founder Dmitry Orlov, till 2008 held the position of the Deputy Chairman at Vozrozhdenie Bank;
  • Viktor Pichugov previously held the position of the Member of the Council of Federation of the Federal Assembly of the Russian Federation;
  • Vladislav Khokhlov, Member of the Board of Directors at Promsvyazbank PJSC;
  • Dmitry Chekalkin previously held the position of the Deputy Chairman of the Management Board at HSBC Bank (PP) LLC;
  • Mukhadin Eskindarov, the Rector of the Financial University under the Government of the Russian Federation.

The first meeting of the new Board of Directors was held directly after the General Meeting of Shareholders. Dmitry Ananiev was elected as the Chairman of the Board of Directors, Otar Margania — as the Deputy Chairman of the Board of Directors and Sergey Malinin — as the Secretary of the Board of Directors of Vozrozhdenie Bank.

On the press briefing after the EGM Dmitry Ananiev noted: “Promsvyaz Capital has finalised the acquisition of the controlling stake in Vozrozhdenie Bank. We are pleased that all the necessary permissions and consents were received in time and we succeeded to get over the uncertainty period. V.Bank is a strategic acquisition for the Group. It will remarkably strengthen our position in the banking market where Promsvyazbank has been our key asset so far. I’m glad that we’ve managed to snatch this unique opportunity for a fast and robust enhancement of visibility, especially in Moscow region.”

Vozrozhdenie Bank is a very sound asset despite the challenging market headwinds. It’s a solid, sustainable business with an impressive growth potential, complimentary to the Group’s other banking assets. The Board of Directors, its Chairman and committees have been elected, all the regulatory issues have been resolved, and the bank can operate in its normal course. Corporate governance procedures will go in strict compliance with the Russian legislation and interests of all the bank’s shareholders.

The Board of Directors has approved chairmen of the committees:

  • Strategy Committee is chaired by Nikolay Orlov;
  • Audit Committee is chaired by Tamjid Basunia Hossain;
  • Human Resources and Compensation Committee is chaired by Mukhadin Eskindarov;
  • Committee on Troubled Assets is chaired by Victor Pichugov;
  • Integration Committee is chaired by Vladislav Khokhlov.
