In accordance with the approved plan for 2009-2010 the HR and Compensation Committee of the Board of Directors held 4 meetings as voting in absentia (by completing the relevant questionnaires). In total during the period the HR and Compensation Committee has discussed 6 items.

Mukhadin A. Eskindarov, 1951 (Chairman)

Independent Director

Since 2002 he was a first pro-rector and since 2006 rector of Federal State Educational Entity “Financial Academy under Government of the Russian Federation”. Since June 2010 Mr. Eskindarov is a rector of Federal State Budgetary Education Entity “Financial University under Government of the Russian Federation”.

He was elected to the bank’s Board of Directors in 2010 and now is a Head of Human Resources and Compensation Committee.

Mr. Eskindarov graduated from Moscow Finance Institute in 1976, “finance and credit” specialization.  He is got a Doctor of science degree, professor and honored scientist of the Russian Federation.

Nikita S. Mikhalkov, 1945

Independent Director

Mr. Mikhalkov is a film director, script writer, actor, producer and a public figure. He is a National Artist of RSFSR, three times he was awarded with of State Award of Russia. He is a member of the Presidium of the Culture and Art Council under the president the Russian Federation.

Mr. Mikhalkov graduated from Producer Faculty of All-Russia State Institute of Cinematography in1971.

He is the Chairman of the Management Board in “Studia TRITE” LLC, the Chairman of the Russian Cultural Fund Management Board, and the Chairman of The Union of Russian Cinematographers.

Movies of Mr. Mikhalkov were generally recognized and have got a great number of awards: Oscar in 1994 for the movie “Burnt by the sun” and Special prize “Golden Lion” of the Venetian film festival for the movie “12” in 2007.

He was awarded with such Honors as “Labor Red Banner”, “For the contribution to the motherland” of IV, III and II classes as well as the Honor of Sergey Radonezhskiy of the I class. He is a Knight and a Commander of Légion d’honneur (France). He was also awarded with Knight Grand Cross and Vittorio De Sica prize.

Mr. Mikhalkov was awarded by the highest Russian public honor “For the labor and Motherland” of Alexander Nevskiy.

He became a Member of the Bank’s Vozrozhdenie Board of Directors in 2007 and now he is a member of Bank’s Human Resources and Compensation Committee.

Yuri V. Poletaev, 1943 

Independent Director

Mr. Poletaev is a member of the Human resources and Compensation Committee of Bank Vozrozhdenie.

He was elected as a member of the bank’s Board of Directors in 2008.

Mr. Poletaev had been the Chairman of the Management Board and a member of the Board of Directors of Vneshtorgbank he also was taking a position of the Director of Moscow National Bank of London.

He graduated from Moscow Financial Institute in 1965.
